ACCEPTANCE OF TERMS 1.1. This End User License Agreement (this "**Agreement**") is a legal contract between you (either an individual or an authorized representative of an organization, collectively "**You**") and the Licensor, governing the installation and use of the iSecOS software (the "**Software**"). 1.2. **BY INSTALLING, COPYING, BOOTING OR OTHERWISE USING THE SOFTWARE IN ANY MANNER, YOU AGREE TO BE BOUND BY ALL TERMS OF THIS AGREEMENT.** IF YOU DO NOT AGREE, DO NOT INSTALL THE SOFTWARE AND DELETE OR DESTROY ALL COPIES. 1.3. If You install the Software on behalf of an organization (agency, institution or enterprise), You represent that You are legally authorized to accept this Agreement on behalf of that organization, and "You" in this Agreement refers to that organization. 1.4. This Agreement is displayed in the Software documentation set, in the installation at `/usr/share/doc/isecos/`, and on the website `https://isecos.isecurity.vn/`. ### ARTICLE 2. DEFINITIONS 2.1. **"Software"** means the iSecOS operating system in binary form (ISO image, USB image, software packages) together with accompanying documentation, as issued by the Licensor. 2.2. **"Open Source Components"** means software distributed with the Software under open source licenses (GPL-2.0, GPL-3.0, LGPL-2.1, MPL-2.0, Apache-2.0, BSD, MIT and similar), including without limitation: Debian GNU/Linux, the Linux kernel, systemd, GNOME, Chromium, LibreOffice, Thunderbird, Remmina, KeePassXC, VLC, Wine, ibus-unikey, CUPS, cryptsetup/LUKS2, clevis, AppArmor, auditd, nftables, usbguard. The detailed component list with each license is published at `docs/legal/LICENSE-COMPLIANCE.md`. 2.3. **"iSecOS Components"** means the components wholly owned by the Licensor, namely: the iSecOS brand and visual identity; the `isecos-*` command line tools (including isecos-upgrade, isecos-backup, isecos-reset, isecos-migrate, isecos-mfa, isecos-nac, isecos-dlp, isecos-monitor, isecos-report, isecos-agent, isecos-whitelist, isecos-freeze, isecos-info, isecos-tpm-enroll); the iSecOS Control Center (administration portal); the GoChat application; the hardened security configuration; wallpapers, logos, splash screens and brand assets. 2.4. **"Licensed Workstation"** means one physical device on which the Software is lawfully installed under Article 3. 2.5. **"Control Center"** means the centralized management system operated by the Licensor or by Your organization (self-hosted) at `isecos.isecurity.vn` or an equivalent server. ### ARTICLE 3. LICENSE GRANT 3.1. **Grant.** Provided You comply with this Agreement, the Licensor grants You a **perpetual, non-exclusive, non-transferable**, worldwide license to: a) Install and run the Software on **the number of Licensed Workstations corresponding to the licenses/entitlements You have purchased or been granted** (or an unlimited number of machines if You hold an organization-wide grant under a separate purchase agreement); b) Make backup copies of the Software corresponding to Your Licensed Workstations; c) Use the accompanying iSecOS Control Center within the scope of the applicable service agreement. 3.2. **No transfer.** You may not sell, rent, lend, redistribute, assign or transfer the Software or any rights under this Agreement to any third party without the Licensor's prior written consent. Where computer hardware with the Software installed is transferred between units within Your own organization, You shall notify the Licensor for license registry update. 3.3. **Open Source Components.** Use, copying, modification and redistribution of the Open Source Components **is outside the scope of this Agreement** and is governed solely by their respective open source licenses (Article 5.2). You retain all rights granted by those licenses, including the right to obtain corresponding source code from the Debian archive or the `isecos.isecurity.vn` mirror. 3.4. **Updates.** Updates and upgrades (including via the `isecos-upgrade` tool) are part of the Software and subject to the same terms, unless separate terms accompany the update. ### ARTICLE 4. RESTRICTIONS 4.1. You shall **not**, except to the extent expressly permitted by applicable law or by the Licensor in writing: a) **Reverse engineer, decompile or disassemble** the iSecOS Components, except to the extent such restriction is unenforceable under mandatory provisions of Vietnamese law, or as permitted for interoperability purposes to the extent allowed by law; b) Modify or create derivative works of the iSecOS Components, or remove or obscure any copyright, trademark or attribution notice contained in the Software; c) Use the Software to build a competing product, or to operate a service offering built upon the Software; d) Attack, bypass or disable the security mechanisms of the Software (LUKS2 disk encryption, USB/DLP control, MFA, NAC, AppArmor, audit) or the access controls of the Control Center, except for authorized security testing under the vulnerability disclosure program (`docs/legal/SECURITY-DISCLOSURE.md`); e) Use the Software for any purpose that violates Vietnamese law. 4.2. **Not applicable to OSS:** The restrictions in Article 4.1 **do not apply** to Open Source Components to the extent rights are granted to You by their respective open source licenses (e.g., the GPL permits decompilation for debugging and redistribution). These restrictions govern only the Licensor-owned iSecOS Components. 4.3. **Security policy operation.** The Software operates under configuration policy delivered from the Control Center. End users within Your organization may not disable security mechanisms (MFA, USB DLP, disk encryption) where organization policy requires them. Managing exceptions is the responsibility of Your organization's administrators. ### ARTICLE 5. INTELLECTUAL PROPERTY 5.1. **iSecOS Components.** All intellectual property rights in the iSecOS Components — including copyright, the "iSecOS" and "MotaX" trademarks and the visual identity design — are exclusively owned by the Licensor. This Agreement transfers no ownership rights to You beyond the usage license in Article 3. 5.2. **Open Source Components.** Copyright in the Open Source Components belongs to their respective authors and communities (the Debian Project, the Linux Kernel Project, the GNOME Project, The Document Foundation, the Mozilla Foundation, VideoLAN, etc.) and is distributed under their open source licenses. **Nothing in this Agreement restricts Your rights under those licenses.** 5.3. **Third-party trademarks.** "Debian" is a registered trademark of Software in the Public Interest, Inc. "GNOME" is a trademark of the GNOME Foundation. "Linux®" is a registered trademark of Linus Torvalds. Chromium, LibreOffice, Thunderbird, VLC, KeePassXC and Remmina are trademarks of their respective owners. iSecOS is based on Debian GNU/Linux and is not endorsed by Debian. 5.4. **Feedback.** If You submit feedback, bug reports or feature suggestions ("Feedback") to the Licensor, You grant the Licensor a non-exclusive, royalty-free, worldwide, perpetual license to use the Feedback to improve the Software, without obligation of compensation. ### ARTICLE 6. WARRANTY 6.1. **NO WARRANTY.** The Software is provided **"AS IS"** and "with all faults". Unless a separate written commercial warranty (support agreement) applies, **THE LICENSOR DISCLAIMS ALL WARRANTIES**, express or implied, including but not limited to implied warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, and any warranty that the Software will operate uninterrupted or error-free. 6.2. You acknowledge that disk encryption (LUKS2/TPM2) protects data only to the level of current technical capability and **does not replace Your obligation to back up data and to safeguard passphrases/recovery keys**. The Licensor is not responsible for recovering data lost due to lost keys, forgotten passphrases or storage device failure. 6.3. Any technical support (if available) is governed by a separate service agreement. ### ARTICLE 7. LIMITATION OF LIABILITY 7.1. To the maximum extent permitted by applicable law, **the Licensor shall not be liable** to You or any third party for any indirect, incidental, special, consequential or punitive damages (including loss of data, loss of profit, business interruption, cost of substitute equipment) arising from or relating to the use of or inability to use the Software, **even if the Licensor has been advised of the possibility of such damages**. 7.2. The **maximum aggregate liability** of the Licensor under all circumstances shall not exceed the amount You actually paid for the Software in the 12 months preceding the event giving rise to liability (or 0 VND for grants provided free of charge). 7.3. The limitations in Articles 7.1 and 7.2 do not apply: (a) to liability that cannot be excluded under mandatory law, including liability for grossly negligent infringement of life or health; (b) to Your obligations under the open source licenses of the Open Source Components. ### ARTICLE 8. TERMINATION 8.1. This Agreement takes effect upon Your acceptance (Article 1) and continues in perpetuity **unless terminated** as set out below. 8.2. **The Licensor may terminate** Your license immediately, without prior notice, if: (a) You breach a material term of this Agreement (Article 3.2, Article 4, Article 5.1) and fail to remedy the breach within 15 days of written notice; or (b) You commit an irremediable breach. 8.3. **You may terminate** at any time by ceasing use of the Software and deleting or destroying all copies of the Software within Your control. 8.4. Upon termination: (a) You shall cease using the iSecOS Components and return/erase them; (b) **Your rights regarding the Open Source Components do not terminate** — the open source licenses (GPL, LGPL, MPL, Apache, etc.) remain in effect under their own terms; (c) provisions that by their nature should survive termination (Articles 5, 6, 7, 9, 10) remain in effect. ### ARTICLE 9. GOVERNING LAW AND DISPUTE RESOLUTION 9.1. This Agreement is governed by and construed in accordance with **the laws of the Socialist Republic of Vietnam**, without regard to conflict-of-law rules. 9.2. Any dispute arising out of or relating to this Agreement shall first be resolved through **negotiation and mediation** within 30 days of one party sending a dispute notice. If not resolved, the dispute shall be submitted to the **competent People's Court under Vietnamese civil procedure law**. 9.3. Failure by either party to enforce a right under this Agreement in a given instance does not constitute a waiver of that right. 9.4. If any provision of this Agreement is held invalid by a court or competent authority, the remaining provisions remain in full force and effect. ### ARTICLE 10.
